Built MVP before NDA, now being asked to hand everything over – Germany i will not promote
Hi, I’m in Germany and need some guidance on a situation involving an early-stage project. I built a functional MVP (web app with backend + database) based on someone else’s idea. At the time of development, there was: • no contract • no payment • no defined scope or role • just informal communication (WhatsApp / Teams) After the MVP was already mostly built, I signed an NDA. It includes a clause saying that “all developments created within the collaboration become part of the project,” but it does not clearly mention retroactive IP transfer. Now the other party claims the MVP belongs to the project and expects access / handover. My questions: 1. Does such an NDA clause typically transfer IP in this situation, especially for work done before signing? 2. Am I obligated to provide access or hand over code/infrastructure? 3. What would be the safest way to exit this situation? I still control all infrastructure (repo, backend, deployment), and nothing has been formally transferred. Would appreciate any insight or similar experiences.
